FOR MEMBERSHIP WITHIN NETWORXIT.COM
Part A
General Rules
1 Networxit.com Membership
1.1 To be eligible to join Networxit.com, you must be a natural person and at least 18 years of age and/or a legitimate registered company, or Trust. The physical address of the members must be declared and in the case of companies or trusts the names of office bearers or trustees must be listed on the application for membership.
1.2 You may apply to become a Member by completing an on-line application form together with the appropriate fee/s for the class of membership within Networxit.com.
1.3 The submission of an on-line application form for Networxit.com Membership and payment of the appropriate fee/s constitutes an offer by you to join Networxit.com.
1.4 We will determine at our absolute discretion whether to accept your application. Your application will be deemed to be accepted by us unless we notify you within 5 days that your application has been declined. You waive notification of acceptance.
1.5 If we accept your application, you will be bound by these terms and conditions, the Ethical Guidelines and Networxit.com Rules and Policies.
1.6 If we do not accept your application to become a Networxit.com member, we refund you the Initial Fee.
1.7 Your Networxit.com membership initially lasts for 12 months from the date that we accept your application for membership.
1.8 Upon the expiry of your Networxit.com membership, we will automatically renew your membership for a further period of 12 months, and charge out the Annual Subscription unless either party notifies the other party in writing at least 7 days prior to the expiry date of your membership that Networxit.com membership will not be renewed.
1.9 All Professional Memberships must initially become Standard members, however they may Upgrade to Professional Master membership level at any time. and as long as they remain a fully paid Master member they may enjoy all the privileges including the opportunity to earn Income from the Matrix Plan. Networxit does not pay commissions for recruitment and all Professional members must have a Sponsor who shall be responsible for the ethical conduct of those they Sponsor. In the event that a Sponsor can not be established, then Networxit shall allocate a responsible member to take up this role.
2 Your Networxit.com membership account
2.1 We will maintain an account in your name in our records.You may choose your OWN UNIQUE user name upon Application which shall not be the same as any other user name of any other member. The User Name may not be that of a country,state,province or place which are reserved for the company. Your Networixt.com account will set out all debits and credits, including payments made in accordance with these terms and conditions.
2.2 You must pay us an initial membership fee, at your option, for either Professional Standard membership or Professional Master Membership as detailed in the online application form.
2.3 Your initial fee includes payment of Annual Membership for either Professional Standard membership or Professional Master Membership (as elected) together with the amount as stated in the application form for the first calendar month of participation.
2.4 Professional Master members must pay us every calendar month the nominated amount for participation for the membership level you elected to take up.
2.5 On each anniversary of your Networxit.com membership, you must pay us the Annual Membership Fee.
2.6 We reserve the right, if you are not a financially paid up member under these terms and conditions, for participation according to 2.4 above, Networxit.com will cancel your membership.
2.7 If a membership is cancelled or falls into arrears, no member bonus will be paid to the member and their Upline. Stored Commissions may also be forfeited
2.8 You can only make payments to us through the payment processors, and in accordance with their rules, as advised within the Networxit.com website. We will not accept cash or personal cheque.
3 Ethical Guidelines, Rules and Policies
3.1 You must comply with the Ethical Guidelines, Rules and Policies at all times.
3.2 You may not do business on behalf of Networxit in any country where the activities of Networxit may deemed to be illegal. Networxit is “ Family Friendly “ and is open to all people regardless of Race, Religion, Creed or Political Persuasion . Networxit’s philosophy of “ ONE WORLD “ applies .
ETHICAL GUIDELINES
These guidelines shall be binding on all members. These guidelines may be amended from time to time at the discretion of the Board of Directors of Networxit.com.
Members must not induce a person to become a member of Networxit.com.
Members must not under any circumstances make any false or misleading representations to induce potential members to join Networxit.com.
Members are not permitted to advertise or promote Networxit.com other than by using material provided by Networxit.com. or by first obtaining permission from Networxit Corporate to use proposed material which ,which if approved, will be available for use by the entire Network.
Members are required to review and comply with the Terms and Conditions of membership.
SPONSORSHIP
All Professional Members of Networxit shall have a Sponsor.
The Sponsor shall normally be the First Person ( Member ) who presented the Networxit business opportunity to the New Member. In the event of a Dispute over Sponsorship the New member will be contacted by a member of the Networkers Board, under the supervision of it’s Chairperson for resolution. The New Members desire to Join with a particular party shall be taken into consideration and the interests of Networxit.com shall be paramount.
CROSS-LINING POLICY
Networxit.com wishes to maintain the highest integrity, consequently Networxit.com management is always alert to any actions that may affect this. One such action is Cross-lining.
"Cross-lining" is a term familiar to seasoned Networkers but not something newcomers to this industry would readily be aware of.
Cross-Lining occurs when someone joins up more than once under different down lines with different sponsors. Alternatively, this also occurs when a person joins under one sponsor, subsequently cancels and then rejoins under another sponsor, a friend or someone who promises to give better support or such other inducements.
Networxit.com does not condone this type of action and considers it to be in contravention of its ethical operating policy. Any member found to be 'cross-lining' will be deemed in breach of Networxit.com's operating policy and their membership may be subject to termination.
The Second aspect of “Cross-Lining” is where a member becomes, or is a member of another Network which they are quite entitled to do. Networxit maintains friendly relationships and respects all legitimate networks worldwide. Any member of Networxit, who actively approaches Networxit.com members outside of their own Sponsorship Line ( this is also known as Poaching ) in an attempt to recruit them to another Network shall be immediately suspended without warning or explanation and may be expelled from Networxit.com and forfeit any accrued benefits. Poaching is this scourge of all networks as it threatens the trust Networkers develop amongst each other. In many cases hours a Networker may spend vast amounts of time and energy training a network group to have it destroyed by poaching activity. Networxit.com may also report this activity to the Network that the Poacher is attempting to recruit to, and the Poacher may then expose themselves to the risk of being dismissed from that Network as well. Networxit.com does not interfere or Comment with the Rules and Regulations of other Networks nor look for areas of conflicts of interests. This Exception would be carefully considered.
SPOUSES or PARTNERS OF MEMBERS
Spouses or Partners of existing members are welcome to join in their own right, however they must join with their spouse.
MULTIPLE MEMBERSHIPS
Members may join more than once, but this activity is not encouraged unless the Member has muliple business activities to promote which require seperate identities,as the Matrix plan allows for Re-Entry Expansion Centres earned by the Networker through Teamwork. The Incentive Plans within Networxit.com are designed to bring the average, part time Networker to financial success, through Individual effort and teamwork. Very few Part Time Networkers could manage and actively participate effectively with more than one team at a time. Any subsequent memberships must be below their original position.
REJOINING AFTER CANCELLATION
Any member who cancels their membership must wait 12 months before they can rejoin under a different sponsor. Naturally they can rejoin at any time if it is under their original sponsor.
4.2 You must not create any hybrid, derivative or sub-systems of the Networxit.com System and Bonus Plans.
5 Our intellectual property is the property of Networxit.com.
5.1 You must not use our brand names or logos, including "Networxit.com", "Networxit.net, “Networxit.biz or "Vollywood.TV", and subsidiary company brand names, except as authorised by us in writing or as provided in the material provided by the company to you.
5.2 You must not register any domain name or trademark using, in whole or in part, any combination of the words "Networixt.com", "Networxit.net”,“ Networxit.biz”, "Vollywood.TV" or containing the word “Networxit “. If you breach this clause, you must immediately transfer, or cause the immediate transfer of, that domain name or trademark to us at no cost to us.
6 Indemnity
6.1 You must indemnify us and keep us indemnified against all actions, liabilities, proceedings, claims, damages, costs (including legal costs of a lawyer and own client basis) and expenses which are suffered by us as a result of you breaching these terms and conditions, the Ethical Guidelines or Networxit.com Rules and Policies.
7 Transfer of your membership
7.1 You may, with our prior written consent, transfer your rights under these terms and conditions to any other natural person who is at least 18 years of age, or company or trust, who is acceptable to us, and who agrees in writing to be bound by these terms and conditions.
7.2 If we accept the transfer, the new member becomes a Networxit.com member on the same terms and conditions applicable to Networxit.com membership at the time of the transfer, and you cease to have any rights under these terms and conditions.
8 Cancellation of your Membership
8.1 You may cancel your Networxit.com membership by providing us with written notice that is signed by you.
9 Termination of your Networxit Membership
9.1 We may terminate your Networxit.com membership by written notice to you if:
(a) you breach any of these terms and conditions;
(b) you do not pay us your calendar month participation fee under clause 2.4;
(c) you do not pay us any amount owing to us under these terms and conditions;
(d) you bring legal action against us;
(e) you are not a natural person or company or trust, entity registered in your country of residence;
(f) you are associated, or continue to be associated with a Networxit.com member who has breached these terms and conditions.
(g) we are required to do so by law or court order;
(h) if, at our sole discretion, we believe that allowing you to remain as a Networxit.com member will breach any law or regulation; or
(i) there has been any change in the law, government regulation, policy or other matter beyond our control, which may otherwise affect our ability to comply with these terms and conditions.
9.2 Upon cancellation, termination or expiration of your Networxit.com membership, all future debits to our nominated payment provider by us will cease.
9.3 Upon cancellation, termination or expiration of your Networxit.com membership, you must not distribute any materials that we provided to you to any other person.
9.4 Upon cancellation, termination or expiration of your Networxit.com membership, any money owed to you in your Networxit.com membership account will be payed out to you via the payment and commissions provider.
10 Amendments of these terms and conditions, Ethical Guidelines and the Networxit.com Rules and Policies
10.1 We have the right to unilaterally amend these terms and conditions, the Ethical Guidelines and Networxit.com Rules and Policies by written notice to you which can be by mail or e-mail or by written notice posted on Networxit.com web site.
10.2 You are deemed to have accepted any amendments to these Terms and Conditions, Ethical Guidelines and Networxit.com Rules and Policies upon the earlier of the following events:
(a) the first time that you pay any fees to us after you have been notified of the amendments;
(b) the first time that you accept moneys that we pay to you; or
(c) 7 days after you have been notified of the amendments.
10.3 If you do not agree to our amendments to these terms and conditions, the Ethical Guidelines and Networxit.com Rules and Policies, you may terminate your membership at any time prior to accepting the amendments, by giving written notice to us.
11 Governing law
11.1 Your Networxit.com membership and these terms and conditions will be subject to the laws of the European Union You agree to submit to the courts of the European Union , in a country Nominated by Networxit within the E.U., in relation to any dispute arising under these terms and conditions or relating to your Networxit.com membership.
12 Acknowledgements
12.1 By submitting an online application form to us, you acknowledge that:
(a) you have read these terms and conditions, the Ethical Guidelines and the Networxit.com Rules and Policies and agreed to them; and
(b) you are applying for Networxit.com membership as a result of your own enquiries and not because of any inducement by Networxit.com, any other Networxit.com member or any other person.
12.2 In these terms and conditions, "Us", "we" or "our" or the "Networxit.com" means Networxit.com or any of it's agents
12.3 Networxit.com or any of their subsidiaries reserves the right to cede, assign, or sell this agreement without notice to any legal parties they deem fit in any country in the world without notice to the member, provided that the agreement shall not be materially altered . In the case that alterations are intended to be made, the member shall be duly informed at their last know e-mail address or their last known physical address which shall be the acknowledged domicilium citandi et executandi ( address for serving notices ).
There are Two Classes of Membership to Networxit
A. Social Membership.
Networxit may provide entirely at it’s own discretion certain “Family Friendly” services to Individuals, Companies and Trusts . These services, outlined on the website are provided free of charge and may be withdrawn at any time, with out notice at the discretion of the office bearers of Networxit. Social members shall have no legal right to claim anything at any time from Networxit or it’s office bearers and shall agree to conduct themselves in a “ Family Friendly “ manner when communicating with other Networxit members so as not bring Networxit or it’s members into disrepute. Social Members may not commercialize the material or services provided by Networxit without first Upgrading to a Professional membership and paying the appropriate fees. If in the opinion of the office bearers they fail to observe this fundamental rule they may be suspended without notice or explanation and excluded from all Networxit activities, neither shall the Social Member have any right to any claim against Networxit and no correspondence will be entered into between the parties.
Part B.
B. Professional Members
Professional Members are those who derive Commercial Benefits either by way of using the facilities and services provided by Networxit or deriving a Bonus or Income for promoting the services of Networxit.
The Commissions and Bonus Plans.
These are clearly outlined on the Networxit.com website. Whilst every effort will be made to maintain the integrity of the Plans, if in the opinion of Networxit they no longer become feasabile then the plans may be changed, enhanced or cancelled without notice at the Sole discretion of Networxit.com.
1.1 If you promote the Networxit.com System, the terms and conditions in this Part B will apply in addition to the terms and conditions in Part A. Part A and Part B form part of the terms and conditions of your Networxit.com membership.
1.2 The terms and conditions of the Team builders Matrix Bonus Plan are set out in this Part B and in our materials, which we have issued to you, or can be issued to you upon your request.
1.3 If any other person becomes a Professional Master Member of Networxit.com using an online application form that contains your name (and no other name) and other required information in the "Your Sponsor Section", then we will credit into your Networxit.com account a monetary bonus ("FAST START BONUS payment") in accordance with a pre-determined formula, while that person remains a Networxit.com member with good standing. The “FAST START BONUS” “ is explained in our materials published on the Networxit.com website.
1.4 There is are no payments made to you for Standard Professional upgrading to Master Membership in the Networxit.com system. If somebody joins you in the network but they cancel without participation or do not pay the agreed annual membership fee and monthly subscription, you get no payment for Sponsorship or of any kind for that person.
1.5 Upon cancellation, termination or expiration of your Networxit.com membership, you will not be entitled to receive any bonus payments after the date of cancellation, termination or expiration of your Networxit.com membership.
1.6 You are encouraged to promote Networxit but are not under any obligation to tell anyone about Networxit.com, its classes of membership, or to nominate or Sponsor any other person to become a Networxit.com member.
Marketing Activity
Members are not to engage in marketing activities that could bring disrepute to Networxit.com or other members. Activities such as leaflet drops, mail drops, telephone campaigns, newspaper insertions, magazine insertions, radio advertising, print media advertising, TV advertising, internet advertising, etc. should take into account Networxit.com’s ‘Spamming’ policy.
SPAM & ADVERTISING POLICY
Touting is prohibited.
1.1 You must not send bulk unsolicited e-mails (for example, spam email) to recipients whose e-mail addresses have obtained by other than personal acquaintance or Legal sources. The Members may however obtain legitimate business leads from recognised Internet Marketing sources in accordance with International Industry Standard. ”Non Spam” laws of communication.
The Icann, best practises rules will apply.
Networxit.com has a ZERO TOLERANCE Spam policy. Anyone spamming with Networxit.com’s name (in any way) or referring to any of our web sites may be immediately terminated, losing their position.
If you violate this policy and it causes damage or loss to our servers, or causes one (or more) of our web sites to be interrupted from normal service, you will be held liable for damages and loss of business.
Communicating legitimately with prospective members on Networxit business is encouraged.
Spam/spamming definition:
Sending any e-mail with Networxit.com’s name, or any of our web site addresses, to anyone that has not requested this information from you first.
Sending any e-mail with the Networxit.com’s name or any of our web site addresses, to any type of "lead" or "prospect" before you have received a request for more info from them.
Sending any e-mail with the Networxit.com’s name or any of our web site addresses, as part of a confirmation/thank you letter as a result of a posting to a classified ad site or a FFA (Free For All Links) site.
As long as Networxit.com or any of our web site addresses, are not mentioned or linked in any way, you may pursue any on-line advertising that you wish, or e-mail anything that you wish, That is strictly your business, you are however cautioned above about what constitutes Spam emails.
If you are pursuing some type of opt-in advertising, there is always a chance that you will still generate a complaint. Design your ads to get the prospect to respond for more information. At that point, the Spam issue is not relevant, as long as you can produce a copy of the specific request to refute any complaints that Networxit.com might receive.
Presentation Protocols
Members who wish to present Networxit.com’s opportunity must present only those materials contained within the Networxit.com website or that material which has first been approved by Networxit.com. All public presentations of Networxit.com shall be OPEN to the entire Professional membership and their guests.
Advertising
The current policy of Networxit.com in respect to advertising is that members must present only those materials contained within the Networxit.com website. or those which have been approved by Networxit Corporate.
Inducement Rules
Members are required to comply with and follow the rules as listed below:
Members must not induce a person to become a member of Networxit.com.
Members must not make (under any circumstances) any false or misleading representations or statements to induce potential members to join Networxit.com.
Members are not permitted to advertise or promote Networxit.com other than by content of materials contained within the Networxit.com published website.
No extra incentives are to be offered to prospective members to join Networxit.com, as the Bonus Plan’s are the only effective rewards for purchasers of the Networxit.com system.
Promotions
Any corporate sponsored promotion, incentive, competition or bonus plan modification may be rescinded at Networxit.com’s elective discretion should any such promotion, incentive, competition or bonus plan modification either prove to be commercially non-viable or contravene any legislation, now or in the future, in any country in which members participate in any of the activities offered at such time by Networixt.com.
Teambuilders Matrix Bonus Payment Criteria
Only active participants (members) will generate bonus payments in accordance with the Networxit.com ‘Teambuilders Matrix Bonus Plan’. An active member, who has paid for their annual membership and who is also paying an agreed monthly subscription fee for membership participation in Networxit.com’s Professional Master Membership system. Should an active participant's (member) account fall into arrears, or continue to be in arrears, the system will not pay upline bonuses.
Unethical Behaviour Policy
Networxit.com has no tolerance for unethical behaviour. If any member tries to circumvent the rules to take advantage of the system, he or she or the company entity will be in breach of this policy. Our security system tracks odd and unethical behaviours and reports such activities to the system administrator. Should circumventing of ethical policy or guidelines occur, members involved will be warned and their memberships will immediately be marked that they have received a warning. A second occurrence will automatically delete the membership. There will be no refunds. Ethical behaviour by all members will ensure all members can continue to enjoy their involvement and benefits with Networxit.com.
